Results of Scheme Meeting

Mason Stevens Group Limited ACN 144 907 200 (Mason Stevens) is pleased to announce that at the Scheme Meeting held today, Mason Stevens Shareholders voted in favour of the scheme of arrangement between Mason Stevens and its shareholders under which it is proposed that Green Bidco Pty Limited ACN 681 925 360, an entity ultimately owned and controlled by funds managed or advised by Adamantem Capital (Adamantem), will acquire 100% of the shares in Mason Stevens (Scheme) as referred to in the Scheme Booklet dated 13 February 2025 (Scheme Booklet).
Voting results of the Scheme Meeting
The Scheme Resolution was passed by the requisite majorities of Mason Stevens Shareholders at the Scheme Meeting. In summary:
- 100% of the total number of votes cast by Mason Stevens Shareholders were in favour of the Scheme Resolution; and
- 100% of Mason Stevens Shareholders present and voting (either in person or online or by proxy, attorney or corporate representative) voted in favour of the Scheme Resolution.
Second Court Hearing
The Scheme remains subject to the approval of the Supreme Court of New South Wales at a hearing that has been scheduled for 10:00am (Sydney time) on Thursday, 20 March 2025 (Second Court Hearing) and certain other conditions precedent which are described in Section 4.4 of the Scheme Booklet.
