Mason Stevens Group Limited ACN 144 907 200 (Mason Stevens) is pleased to announce that the acquisition of Mason Stevens by Green Bidco Pty Limited ACN 681 925 360 by way of scheme of arrangement (Scheme) has today been implemented.

Unless otherwise defined, capitalised terms in this announcement have the meanings given to them in the Scheme Booklet dated 13 February 2025.

Payment of Scheme Consideration

In accordance with the terms of the Scheme, all Mason Stevens Shareholders who held Mason Stevens Shares at the Scheme Record Date (being 7:00pm on Monday, 24 March 2025) have today been paid Scheme Consideration of $2.2293 per Mason Stevens Share.

Permitted Dividend

In accordance with the Scheme Implementation Deed dated 18 December 2024, the Mason Stevens Board has determined to pay a Permitted Dividend of $0.0592 per Mason Stevens Share. The Permitted Dividend was paid earlier today prior to payment of the Scheme Consideration to those Mason Stevens Shareholders on the register as at 5:00pm (Sydney time) on 20 March 2025.
