Mason Stevens Group Limited ACN 144 907 200 (Mason Stevens) provides the following update in relation to the proposed acquisition of Mason Stevens by Green Bidco Pty Limited ACN 681 925 360, an entity ultimately owned and controlled by funds managed or advised by Adamantem Capital, by way of a scheme of arrangement (Scheme).

First Court Hearing

The Supreme Court of New South Wales (Court) has today made orders:

1. directing Mason Stevens to convene and hold a meeting of the shareholders of Mason Stevens to consider and vote on the Scheme (Scheme Meeting); and
2. approving the distribution of an explanatory statement providing information about the Scheme and the notice of meeting for the Scheme Meeting (Scheme Booklet) to Mason Stevens Shareholders.

Scheme Booklet

The Scheme Booklet is expected to be released to shareholders later today or tomorrow following registration with the Australian Securities and Investments Commission (ASIC).
